# 🛡️ SLAP MAGAZINE, KOZY GAME SHOW NON-DISCLOSURE & MEDIA RIGHTS AGREEMENT

* **SLAP MAGAZINE, LLC** (“Company”)

and

* **______________________________** (“Representative”)

## **A. PURPOSE**

This Agreement protects SLAP MAGAZINE’s confidential information, media assets, and creative intellectual property. It ensures that any photos, videos, recordings, or brand data obtained through KOZY Game Show or related SLAP MAG events remain secure and under Company ownership.

## **B. CONFIDENTIAL INFORMATION**

**“Confidential Information”** includes but is not limited to:

* Artist contracts, contact lists, and business data

* Royalty reports, accounting records, and partnership terms

* Internal training materials, systems, and workflows

* Any non-public plans, marketing strategies, or unreleased footage

Representative agrees to:

1. Keep all Confidential Information strictly private.

2. Use it **only** for Company-approved duties.

3. Not disclose or share it with any outside party, artist, or competitor.

4. Immediately notify Company of any suspected breach.

## **C. MEDIA & INTELLECTUAL PROPERTY RIGHTS**

All media created under this Agreement—including audio, video, photographs, and written content—is **work-for-hire** property of SLAP MAGAZINE, LLC.

### **Company Ownership**

1. Company retains **100% ownership** of all footage, recordings, and edits.

2. Company has full rights to reproduce, sell, publish, broadcast, distribute, or license the material worldwide, in perpetuity.

3. Representative waives any claim of copyright, royalty, or credit beyond compensation described in their City Rep Agreement.

### **Representative Use**

Representative may:

* Use **short clips or photos** (up to 60 seconds) for personal reels or portfolio purposes.

* Must include the tag **“@slapmagazine1 | KOZY Game Show”** in captions or credits.

* May not sell, repost, or monetize full-length content independently.

## **D. DATA HANDLING**

1. All files (video, photo, metadata, forms) must be uploaded directly to Company’s designated storage within **48 hours** of event completion.

2. No files may be copied, stored, or shared outside the official Company folders.

3. Upon termination, Representative must return or delete all confidential materials.

## **E. NON-COMPETE & BRAND PROTECTION**

1. Representative may not represent any other company under the *KOZY Game Show*, *SLAP MAGAZINE*, or *StrikinBackAtStrokes* brand names.

2. Representative may not use Company branding for outside commercial purposes without written consent.

3. Any competitive project utilizing Company concepts or trade secrets within 24 months of this agreement is prohibited.

## **F. DURATION**

This Agreement remains active:

* During the term of the City Rep Agreement, and

* For **two (2) years** after termination or completion of services.

## **G. PENALTIES FOR BREACH**

Any unauthorized disclosure, duplication, or misuse of Company materials may result in:

* Immediate termination of contract,

* Legal action for damages and injunction, and

* Forfeiture of unpaid royalties or commissions.
