## 🔄 **Replacement Plan (Mid-Term Exit)**


If an artist can no longer participate after 12 months (or any time before the term ends):


1. **30-Day Notice:** Artist must give written notice that they can no longer continue.

2. **Replacement Search:**


* Slap Magazine has first right to find a replacement artist within 30 days.

* Replacement pays a **buy-in fee** equal to the exiting artist’s share of the remaining term.

* Example: If 24 months remain → \$200 × 24 months = \$4,800 buy-in.

3. **Exit Fee:** The original artist may be charged a small administrative fee (e.g. \$200) to cover legal + contract transfer.

4. **Vehicle Usage Pause:** Their rotation slot is frozen until the replacement is confirmed, so remaining artists get extra time.

Goal: Transfer ownership of the vehicle to **Slap Magazine** at the end of 36 months so it becomes a **permanent brand asset** (and can continue generating revenue).


### Plan:


* **Residual Buyout Price:** Typical McLaren lease buyout might be **\~45–50% of MSRP** after 36 months.


* Example: \$250,000 MSRP → \$110,000 buyout.

* **Ownership Transition:**


* Slap Magazine covers the buyout cost (funded by game revenue, merch sales, and sponsor contributions).

* Artists receive **credit toward future access** (VIP priority use for shoots, appearances) as part of their original contribution.

* Optionally, Slap can offer **equity-style credits**:


* Example: Each artist’s \$7,200 → earns a 1% lifetime discount on using the McLaren for future rentals or appearances under Slap.

* The car doesn’t get liquidated or lost at the end of term.
